Terms & Conditions of Use

The terms governing access to and use of the Sessions.Audio platform, marketplace transactions, user content, project content, payments, and dispute resolution.

1. Introduction

Thank you for your interest in Sessions.Audio, a service provided by Sessions.Audio LLC (“Sessions.Audio,” “we,” “us,” or “our”). The Sessions.Audio services connect service seekers and service providers in the music production industry.

By signing up, accessing, or otherwise using the Sessions.Audio services, including associated features, websites, user interfaces, applications, content, and material made available through the Platform, you agree to these Terms of Use (“Terms” or “Agreement”). If you do not agree, you may not access or use the Platform.

Important: This Agreement contains a mandatory arbitration provision and class action waiver, described in Section 17. Except for certain disputes, disputes between you and Sessions.Audio will be resolved by binding individual arbitration, and you waive the right to have a dispute resolved by a judge or jury or to participate in a class action.

You and any other individuals accessing or using the Platform are each referred to as a “User.” To use the Platform, you must be of legal age to enter into this Agreement and have the power to enter a binding contract.

2. Changes to the Agreement

We may make changes to the Agreement by posting an updated version to the Platform. When changes are material, we will provide additional notice as appropriate. Your continued use of the Platform after changes are made constitutes acceptance of the changes.

3. Transactions, Payment Process and Our Role

The Platform may allow Users to connect for music-related services and products, including composing, performing, recording, editing, mixing, producing, or designing visual content. Such services are provided by one User (“Creator”) to another User (“Recipient”) in exchange for consideration through Transactions.

The Platform is a forum where Creators and Recipients can meet. Sessions.Audio is not a party to Transactions between Users, is not responsible for User acts or omissions, and makes no representation as to the reliability, capability, qualifications, quality, security, legality, accuracy, or completeness of any Transaction or User-provided information.

Payment processing and fund transfer services are provided by third-party payment service providers. Sessions.Audio is not an escrow service, money aggregator, or money transmitter.

3.2 Project Transactions

Users may enter into Project Transactions for music-related services. Creators and Recipients must enter into written or electronic Project Terms describing the Project and rights to use related materials.

After a Project has been created or opened on the Platform, Users are prohibited from negotiating or executing the related Project Transaction outside the Platform, including making or refunding payments outside the Platform.

Recipients fund Project Fees through the payment service provider. Creators begin work after funding is confirmed. When the Creator submits work and the Recipient marks the Project completed, applicable fees are deducted and the remainder is remitted to the Creator. If a Project is not marked completed or revision-requested within 14 days after submission, Sessions.Audio may mark the Project completed.

3.3 Track Transactions

The Platform may allow Creators to license or sell pre-recorded beats, instrumentals, tracks, or sound recordings to Recipients, subject to Track Terms selected by the Creator.

3.4 General Transaction Conditions

If a Recipient fails to fund amounts owed, cancels a card, initiates an improper chargeback, or otherwise fails to pay, the account may be suspended and related licenses or work may be voided. Sessions.Audio may request holds on payments where risk or disputes exist.

3.5 Taxes

Users are responsible for applicable taxes, including indirect taxes, income taxes, withholding taxes, certifications, reporting, and any related obligations unless Sessions.Audio is required by law to collect or remit certain taxes.

3.6 Insurance

Users are responsible for obtaining sufficient liability insurance to cover risks associated with their Transactions.

4. Registration to the Platform

Registration may be required to participate in Transactions. Users may log in using third-party login providers where available or create an account with a sign-in name, password, and other identifiers.

Users are responsible for keeping registration information accurate and current and for maintaining the confidentiality of account credentials.

5. Community Guidelines

Sessions.Audio respects intellectual property rights and expects Users to do the same. Users agree not to upload, post, email, transmit, or otherwise make available content that infringes rights, is defamatory or obscene, promotes violence, contains hate speech, discloses sensitive information about another person, or is intended to harass or bully others.

  • Comply with applicable laws and do not use the Platform for unlawful purposes.
  • Do not use the Platform to collect market research for a competing business or to develop a competing service.
  • Do not attempt to move Transactions outside the Platform after introductions or Projects are facilitated through the Platform.
  • Do not provide false or misleading information or impersonate others.
  • Do not interfere with Platform operation, use unauthorized scraping, reverse engineer software, or circumvent content protections.
  • Communicate professionally and respectfully with other Users.
  • Do not post personal contact information except where specifically requested.

6. Using our Service

Unless otherwise agreed and to the extent allowed by applicable law, you grant us the right to provide advertising and other information to you and to allow our business partners to do the same.

The Platform contains material such as videos, photographs, software, text, graphics, images, sound recordings, User Content, and other materials. The Content may be owned by Sessions.Audio or third parties and is protected by U.S. and foreign laws.

Except as expressly provided for User Content and Project Content, Sessions.Audio and its licensors retain all rights in the Content and Sessions.Audio brand features.

7. User Content and Project Content

The Platform allows Users to publish content and share Project-related content. User Content is content published on the Platform, such as profile content, project descriptions, pictures, text, information, descriptions, audio, tracks, and other content.

You retain copyrights and other intellectual property rights in your own User Content. However, by posting User Content, you grant Sessions.Audio and its designees rights to use that User Content and related likeness in connection with the Platform and to advertise and promote Sessions.Audio and its products and services.

Project Content includes creative materials provided by the Recipient to the Creator for a Project and any Submission created or performed by a Creator in connection with a Project Transaction. You retain rights in your own Project Content unless otherwise agreed in the Project Terms.

Except as required or permitted by law or as needed to provide services or assist users, Sessions.Audio will not use Project Content, whether finalized or work-in-progress.

Feedback you send to Sessions.Audio may be used without compensation or attribution and will not be treated as confidential.

8. Warranty Disclaimer

The Platform and Content are provided “as is” and “as available” without express or implied warranty or condition of any kind. Sessions.Audio disclaims warranties to the fullest extent permitted by applicable law.

9. Limitation of Liability

Your sole and exclusive remedy for problems or dissatisfaction with the Platform is to stop using the Platform.

To the fullest extent permitted by applicable law, Sessions.Audio will not be liable for indirect, special, incidental, punitive, exemplary, or consequential damages; loss of use, data, business, or profits; or certain direct damages beyond the greater of $50 or amounts you paid us during the three months preceding the first event giving rise to a claim.

Sessions.Audio assumes no liability for acts or omissions of Creators.

10. Third Party Materials

The Platform may contain links to third-party websites. These links are provided for convenience and are not endorsements. Sessions.Audio is not responsible for third-party sites, materials, advertisements, products, or services.

11. Representations and Warranties

You represent, warrant, and covenant that you own or have necessary rights, licenses, consents, and permissions for your User Content and Project Content; that use of such content will not infringe third-party rights; that you will not post content violating the Community Guidelines; and that you will abide by Transaction terms, including Track Terms.

12. Indemnification

You agree to defend, indemnify, and hold Sessions.Audio and its affiliates, officers, directors, employees, agents, successors, licensees, licensors, and assigns harmless from claims, actions, demands, damages, losses, and expenses arising from your breach of this Agreement, Transactions, User Content or Project Content, Platform activity, legal violations, rights violations, or disputes with other Users.

13. Term and Termination

This Agreement applies until terminated by you or Sessions.Audio. Sessions.Audio may restrict, suspend, or terminate your access to all or part of the Platform at any time and for any reason without prior notice or liability. Provisions that by their nature should survive termination will survive.

14. Premium Providers and the Job Board

Creators may request to become Premium Providers. Sessions.Audio may require an application and review process. Premium Providers may be charged recurring fees, may receive Proposal Credits, and may be elevated in search results.

Premium Provider status may renew automatically until canceled or revoked. Sessions.Audio may change fees with notice and may revoke Premium Provider status for violation of the Agreement.

15. Transaction Agreements

Sessions.Audio may make form agreements or Track Terms available, but does not provide legal advice and disclaims responsibility arising from form agreements or their use. Users should consult an attorney before entering Transactions.

16. Copyright Infringement

Sessions.Audio respects intellectual property rights. If you believe Content infringes your copyright, contact Email.

17. Choice of Law, Mandatory Arbitration, and Venue

This Agreement and related disputes are governed by the laws of the State of Nevada, without regard to conflict-of-law principles. Non-arbitrated claims must be brought in state or federal courts located in Clark County, Nevada, and Users consent to that jurisdiction and venue.

For U.S. Users, disputes between you and Sessions.Audio will generally be resolved by mandatory binding individual arbitration. There is no judge or jury in arbitration, and court review of an arbitration award is limited.

Exceptions include individual actions in small claims court and certain temporary or preliminary individualized injunctive relief. Class or representative proceedings are waived to the extent permitted by law.

Arbitration rules vary depending on whether the User is a consumer or an Organization, Organization representative, or music industry professional. A party seeking arbitration must first provide written notice of the dispute.

18. Miscellaneous

This Agreement constitutes the entire agreement between you and Sessions.Audio regarding the subject matter, unless otherwise agreed in writing.

If any provision is held invalid or unenforceable, the remaining provisions remain in effect to the extent permitted by law. Sessions.Audio may assign or delegate rights and obligations; you may not assign or sublicense rights under the Agreement without permission.

No agency, partnership, joint venture, or employment relationship is created by these Terms. No waiver is effective unless in writing. Section headings are for convenience.

Sessions.Audio services may be subject to U.S. export and re-export control laws and regulations. You agree to comply with applicable export controls and sanctions laws.

Sessions.Audio may change, suspend, or discontinue all or part of the Platform at any time without prior notice or liability.

You are not, and may not present yourself as, an employee, contractor, agent, or affiliate of Sessions.Audio unless separately authorized.
